Cliply Crew — Program Terms

These terms govern participation in Cliply Crew, the Cliply ambassador program. They apply from the moment an application is approved and a referral code is issued. Accepting the perks means accepting these terms.
They form an agreement between you and ianaya89 LLC, a Wyoming limited liability company, which operates Cliply. They sit alongside the Terms of Service and the Privacy Policy, which continue to govern your use of the product itself; where this document and those disagree about the program, this one wins.
1. Nature of the relationship
Crew members are independent. Nothing in this program creates employment, agency, partnership or a joint venture. Crew members set their own schedule, choose their own content, and are responsible for their own taxes, invoicing and social contributions where they live — see Tax and payment paperwork for the one case where a United States rule reaches a payout.
Participation is non-exclusive on both sides, with one limit: a crew member may not participate while under contract with a competing video-analysis product.
2. Admission
Admission is by application and a conversation, at Cliply's discretion. Cliply may decline any application without stating a reason, and may cap the number of crew members per country, sport or league.
3. Perks
While a crew member is active, Cliply grants, at no charge:
- The Team plan on one organization owned by the crew member.
- The Cloud add-on at one block, currently 50 GB of storage plus server-side exports.
- A merchandise kit, shipped within 14 days of approval, and a second kit on reaching 10 paying referrals.
- Early access to features behind flags and to beta desktop builds.
Perks are personal and non-transferable. They may not be resold, shared with another organization, or used to provide analysis services to third parties as a substitute for those third parties holding their own Cliply subscription.
Cliply may change the composition of the perks with 30 days' notice.
4. Referrals and commission
Each crew member receives a personal referral code. A referral is attributed when a new customer subscribes using that code.
- Rate. Between 5% and 20%, set by rank at the time of each payment. Ranks are: Runner 5%, Operator 10%, Director 15%, Anchor 20%.
- Duration. Commission is paid on every payment a referred customer makes during the first 12 months from that customer's first payment. No commission is paid after that window closes.
- Basis. Commission is calculated on net revenue actually settled — after any discount the referred customer received, after taxes, and after refunds or chargebacks. A refunded payment reverses its commission against the next payout.
- Promotions apply forward. A rank increase applies to payments made after the promotion date, never retroactively.
- No restart. A referred customer who cancels and later subscribes again does not restart the 12-month window, which runs on calendar time.
- No self-referral. The crew member's own organization, and any organization in which the crew member is the paying owner, earns no commission.
- Rate changes. Cliply may change rates or rank thresholds with 30 days' notice, applied forward only. Commission already earned settles at the rate in force when it was earned.
5. Payouts
- Paid monthly, within the first 10 days, for the previous calendar month.
- Subject to a 50 USD minimum. Balances below the minimum roll forward and do not expire.
- Paid by Wise, PayPal or local bank transfer. Fees charged by the crew member's own provider are the crew member's responsibility.
- Alternatively, a crew member may elect to receive the balance as Cliply account credit at 1.25 times face value, usable against plan upgrades, additional seats or credit packs. Credit is not redeemable for cash.
- Commission already earned is paid even after a crew member leaves the program or is removed from it.
6. Staying active
To remain active, a crew member is expected, per calendar quarter, to:
- Publish at least two public mentions of Cliply in the course of their own work, and
- Produce at least one substantial piece — a workshop, clinic demonstration, case study or written breakdown, and
- Respond to referrals routed to them by Cliply.
A missed quarter results in a notice and a 30-day grace period. Two consecutive missed quarters end the perks: the plan reverts to Free and the badge and public listing are withdrawn. Earned commission is still paid.
7. Brand use
Crew members may use the Cliply Crew badge on their profiles, thumbnails and presentations, may show the Cliply mark where it identifies the product on screen, and may describe themselves as Cliply Crew and by their rank.
Crew members may not alter the mark's colour or proportions, incorporate it into their own logo, imply that Cliply endorses their own products, services or courses, or register any domain, account handle or business name containing "Cliply".
All rights in the Cliply name, mark and badge remain with Cliply. The licence granted here ends when participation ends.
8. Content
Crew members own the content they create and grant Cliply a non-exclusive, royalty-free licence to reproduce and share it on Cliply's own channels with attribution.
Crew members must not misrepresent what Cliply does, promise features that have not shipped, or disclose unreleased features shared with them under early access.
9. Termination
Either side may end participation at any time, with or without reason, by notice.
Cliply may end participation immediately, and withdraw perks, in cases of: misrepresenting the product; misuse of the referral code, including resale or use to create accounts that are not genuine customers; bidding on Cliply brand terms in paid search; disclosure of unreleased features; or public attacks on Cliply customers or other crew members.
On termination the plan grant reverts to Free, the referral code is deactivated, and brand use must stop. Commission already earned is paid on the next scheduled payout.
10. Tax and payment paperwork
Crew members are paid as independent contractors of a United States company. Before the first payout Cliply may need a W-9 (US persons) or a W-8BEN / W-8BEN-E (everyone else) on file, and may withhold where US law requires it. A payout can be held — never cancelled — until the form is returned.
Nothing is withheld for your own country. Income tax, VAT and social contributions where you live are yours, and crew who invoice (Argentine monotributistas among them) are paid against invoice.
11. Governing law and disputes
These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. The state and federal courts sitting in Sheridan County, Wyoming have exclusive jurisdiction over any dispute arising out of or relating to them, and both parties consent to that venue.
This choice does not strip you of protections you cannot lawfully waive. Where your local law grants mandatory rights or a mandatory forum, those rights and that forum apply regardless of this section.
12. Changes to these terms
Cliply may amend these terms with 30 days' notice by email to the address on file. Amendments apply forward only. Continued participation after the notice period constitutes acceptance.
